Seller Listing Terms

Last updated: October 6, 2026 · Version 1.0

These Seller Listing Terms apply when you list a company, business or related asset for sale on the 7Baas Platform. They supplement our Terms of Use; words defined there have the same meaning here.

1. Who can list

1.1 You may list a company only if you are its legal owner, or you are authorised in writing by its owners to market it for sale, and you can provide evidence of this on request.

1.2 You, and where you act for an entity, that entity and its beneficial owners, must complete our verification under the AML & KYC Policy before the Listing is published.

2. Preparing a Listing

2.1 You are responsible for the content of your Listing, including the description, licence type and status, jurisdiction, asking price, what is included in the sale, and any running costs, capital requirements or conditions.

2.2 You must upload at least one document for the Deal Room before the Listing can be published. Documents may include corporate documents, licence or registration documents, financial statements, ownership information and compliance documents. Where you prefer to share the full document pack through a 7Baas broker, a standard notice to that effect may be placed in the Deal Room, and you must provide the documents to the broker promptly on request.

2.3 Before uploading documents that contain personal data, you must make sure that you are entitled to share them and that the individuals concerned have been informed as required by data protection law. Redact information that a buyer does not need at the evaluation stage, such as full identity document numbers or bank account numbers.

3. Review and publication

3.1 We review each Listing before publication, including checks against public registers where available. We may ask for more information, edit the Listing for format and consistency, and decline to publish it.

3.2 Our review is a marketplace screening process and does not make 7Baas responsible for the accuracy of the Listing.

3.3 We may suspend or remove a Listing at any time if we believe it is inaccurate, if you do not cooperate with our checks, or if it breaches our policies.

4. Your warranties

You warrant, when the Listing is published and throughout the time it is on the Platform, that: - you have the right to sell, or to authorise the sale of, the company or asset listed; - the information and documents you provide are true, accurate, complete and not misleading; - you have disclosed every fact that you know or ought reasonably to know that would be material to a buyer, including any regulatory investigation, enforcement action, restriction or condition on a licence, litigation, significant debt, tax dispute, or loss or threatened loss of banking or safeguarding arrangements; - the company's licence or registration is in force as described, unless the Listing states otherwise; - the shares are free from undisclosed charges, options or other third-party rights.

5. Keeping the Listing up to date

You must tell us within 5 Business Days of any change that makes the Listing inaccurate, including a change in the company's regulatory status, ownership, banking or financial position, or if the company is sold, placed under offer or withdrawn elsewhere.

6. Buyers and the Deal Room

6.1 Buyers can access Deal Room documents only after completing identity verification and signing the NDA. The NDA protects your confidential information; you will be able to see who has signed it for your Listing.

6.2 You must keep confidential all information about buyers that you receive through the Platform and use it only for the relevant Deal.

7. Change of control

You must cooperate in good faith with any regulatory change-of-control process that applies to the sale, including preparing and filing the documents that the regulator requires from the seller side, and keep 7Baas informed of its progress.

8. Fees

8.1 Any Success Fee payable by you is disclosed when the Listing is accepted or when the Deal is created, and is calculated and becomes due as set out in the Terms of Use.

8.2 Where the Deal is settled through the Escrow Account, the Success Fee and any other amount you owe 7Baas may be deducted from the amount released to you.

8.3 Any listing, verification or other fee is shown before you order the service.

9. Non-exclusivity and non-circumvention

9.1 Unless we agree otherwise in writing, your engagement of 7Baas is non-exclusive and you may market the company through other channels.

9.2 If a buyer is introduced to you through the Platform, the non-circumvention provisions of the Terms of Use apply: a transaction with that buyer within 24 months of the introduction must be completed through 7Baas, or the Success Fee remains payable.

10. Sold status

When a Deal completes, we may mark the Listing as sold and display it in our sold registry with general information such as the licence type, jurisdiction and month of sale. We will not publish the price or the identity of the buyer without your consent.

11. Withdrawing a Listing

You may withdraw a Listing at any time by notice to us. Withdrawal does not affect any Deal that has reached the offer stage, your obligations under signed NDAs, or fees and non-circumvention obligations that have already arisen.

12. Indemnity

You will indemnify 7Baas against all losses, liabilities, costs and expenses (including reasonable legal fees) arising from any breach of your warranties, from inaccurate or misleading information in your Listing or documents, or from documents you upload in breach of law or of a third party's rights.
